Read this before using Pryv.

These Terms of Use and Licensed Application End User License Agreement ("Terms") form a binding contract between Pryv ("we", "us") and you (an individual or organization) whenever you install, access, or interact with any Pryv application, website, API, or integration.

• Accepting these Terms (by creating an account, connecting a wallet, or using Pryv) confirms you have authority to bind yourself and, if applicable, your organization.
• This document supplements the Apple Standard EULA for App Store distribution; where conflicts exist, these Terms govern your relationship with Pryv while Apple’s terms govern your relationship with Apple.
• We may update Terms with notice through the app, email, or release notes; continued use after the effective date constitutes acceptance.

Pryv licenses, rather than sells, its software. You receive a limited right to run the Licensed Application on Apple-branded hardware you own or control, as permitted by platform Usage Rules.

• The license is non-transferable, revocable, non-sublicensable, and solely for lawful personal or internal business use.
• You may not copy, modify, translate, reverse engineer, decompile, disassemble, or create derivative works from the app except where local law expressly permits despite this restriction.
• Do not make the app available over a network for use by multiple devices simultaneously unless your plan explicitly supports that scenario.
• If you sell or transfer your device, you must remove the app first and ensure the recipient does not inherit your credentials, wallets, or session keys.

Pryv is built for privacy-conscious professionals and teams.

• You must be at least 18 (or the age of majority in your jurisdiction). Additional regional requirements may apply (e.g., 16+ in the EU with guardian consent).
• Maintain accurate profile information and protect wallets, passkeys, recovery phrases, and device-level biometrics that unlock the app.
• If you are part of an organization plan, "you" includes the company and its authorized users; administrators control seat provisioning and responsibility for team compliance.
• Notify us immediately about suspected account compromise, unauthorized transactions, or privacy concerns so we can suspend access if needed.

We continuously ship new privacy features, inference options, and reliability fixes. Install updates promptly to stay protected.

• Pryv may automatically download and install updates or hotfixes; some features work only on the latest version.
• We may disable or remove features that become unsafe, deprecated by platform rules, or superseded by new functionality.
• You may submit feedback or feature ideas; by doing so you grant Pryv a perpetual, worldwide, royalty-free right to use that feedback without obligation.

The Pryv Privacy Policy (https://pryv.chat/privacy-policy) explains what we collect, why, and how you stay in control. These Terms summarize key commitments.

• Prompts, attachments, and model selections are processed inside Pryv trusted execution environments that scrub network identifiers before reaching AI providers.
• Optional chat history is encrypted per wallet and stored only when you ask us to persist it; you can delete history or request exports.
• We share limited data with subprocessors such as Stripe (billing), trusted infrastructure hosts, or analytics providers operating on aggregated or de-identified signals.
• No data brokerage: Pryv does not sell personal information and contracts require subprocessors to use data solely to deliver Pryv services.

To keep Pryv private and safe, you agree not to misuse the service.

• Do not violate laws, intellectual property rights, confidentiality duties, or platform rules when submitting prompts or artifacts.
• No harassment, discrimination, doxxing, stalking, malware distribution, model jailbreaking abuse, or high-risk biometric/medical processing without clear legal rights.
• Do not probe, scan, or stress-test Pryv infrastructure without written permission; disclosed vulnerabilities should follow responsible disclosure guidelines.
• Avoid circumventing usage quotas, sharing single-user accounts, or reselling access unless you have a written reseller or OEM agreement.

You retain ownership of prompts, attachments, and outputs you create, subject to third-party rights that you must honor.

• You grant Pryv the rights necessary to host, route, encrypt, process, and display your content solely to operate the service.
• You are responsible for securing consents or rights to any personal data or confidential information you upload.
• AI outputs may be inaccurate, biased, or unsuitable; you must review outputs before acting on them and remain responsible for downstream decisions.
• Feedback you provide about Pryv may be used without restriction, and we have no confidentiality obligations for unsolicited suggestions.

Private AI infrastructure requires predictable billing. Pricing and limits appear in-app or at checkout.

• Stripe (or another listed processor) handles payments; Pryv never stores complete card or bank details.
• Plans renew automatically unless you cancel via the billing portal, wallet management screen, or Apple subscription settings before renewal.
• Usage-based charges (e.g., higher inference tiers) are measured via wallet, API key, or account ID; exceeding limits may pause service until you upgrade.
• Refunds are evaluated for service outages caused by Pryv, duplicate charges, or unused future periods after timely cancellation. Statutory cooling-off rights still apply where required.

Pryv may enable links or connectivity to Apple services, AI model providers, cloud infrastructure, or other external tools.

• External services are provided "as is" by their owners. Pryv is not responsible for their accuracy, availability, or content.
• Using third-party integrations is at your own risk and may be subject to separate terms and privacy notices.
• We may change, suspend, or remove integrations at any time (for example, if a vendor fails a security review or violates policy).

Privacy is a product feature, but no connected service can guarantee absolute security.

• We apply least-privilege access controls, continuous monitoring, encryption in transit and at rest, and TEE-based prompt isolation.
• You agree to implement reasonable safeguards on your end (updated OS, hardware security modules, MDM policies for teams, etc.).
• If we detect unauthorized access, we may suspend accounts, rotate keys, and notify you and regulators where legally required.

You can delete your account or uninstall the app at any time.

• We may suspend or terminate access for violations, suspected fraud, non-payment, legal requests, or security risks.
• Upon termination we may delete cached prompts, logs, or stored content after fulfilling legal retention duties. Review the Privacy Policy for deletion timelines.
• Sections intended to survive (e.g., license restrictions, disclaimers, liability limits, dispute terms) remain in effect after termination.

The law requires we say this clearly.

• THE LICENSED APPLICATION, SERVICES, AND AI OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE."
• WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, ACCURACY, AND NON-INFRINGEMENT.
• No oral or written advice from Pryv or its representatives creates a warranty. You assume responsibility for evaluating AI outputs before use.

To the fullest extent permitted by law, Pryv is not liable for indirect damages, lost profits, lost data, or business interruption arising from your use of the Licensed Application.

• Our total liability for all claims will not exceed the greater of USD $50 or the fees you paid to Pryv in the twelve months before the event giving rise to liability.
• These limitations apply regardless of theory (contract, tort, strict liability) and even if a remedy fails its essential purpose.
• Some jurisdictions do not allow certain limitations for consumers; where prohibited, those limits do not apply and the remainder remains enforceable.

You agree to defend and indemnify Pryv, its officers, employees, and partners from claims arising out of your misuse of the service.

• Covered claims include alleged violations of law, third-party rights, or these Terms, as well as content you submit to Pryv.
• We will notify you promptly of claims and you will not settle without our written consent if settlement imposes obligations on Pryv.

Pryv software is subject to U.S. and international trade rules. You must comply with all applicable export, import, and sanctions laws.

• You represent that you are not located in, under the control of, or a national or resident of any embargoed country or prohibited list (including U.S. Treasury SDN, Commerce Entity, or Denied Persons lists).
• You will not use Pryv in connection with prohibited nuclear, missile, chemical, biological weaponry, or military end uses banned by applicable law.

The Licensed Application and documentation are "Commercial Items" per 48 C.F.R. §2.101, consisting of "Commercial Computer Software" and "Commercial Computer Software Documentation."

• Government end users acquire only those rights set forth in these Terms and 48 C.F.R. §12.212 or §227.7202-1 through §227.7202-4, as applicable.
• Unpublished rights are reserved under U.S. copyright laws.

Except where prohibited, these Terms are governed by California law (without regard to conflict-of-law rules) and disputes will be resolved in the state or federal courts located in Santa Clara County, California.

• If you reside in the European Union, Switzerland, Norway, or Iceland, the laws and courts of your habitual residence apply, and you may bring claims locally.
• Mandatory consumer protections available in your jurisdiction remain intact.
• The United Nations Convention on Contracts for the International Sale of Goods does not apply.

We strive to write readable legal terms. If any provision is unenforceable, the remaining provisions stay in effect.

• We may provide notices via email, in-product banners, release notes, wallet messages, or push notifications.
• Failure to enforce a provision is not a waiver of rights.
• You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or corporate restructuring.
